SOFTBANK As SoftBank’s primary outside counsel, we represented SoftBank Group, the Vision Fund and the SoftBank Latin America Fund in numerous significant M&A transactions and investments in 2019. For example, we are advising Sprint and SoftBank (Sprint’s 80% parent) in the divestiture of Sprint’s prepaid businesses and certain 800 MHz spectrum assets to DISH for $5 billion, in connection with— and contingent on—Sprint’s pending $26.5 billion all-stock merger with T-Mobile (in which we are also representing SoftBank, including in successfully obtaining FCC and DOJ approval of the proposed transaction). We also advised SoftBank on more than $10 billion in investments in 2019, including a $1.5 billion investment in Guazi, a leading Chinese e-commerce platform focusing on automotive sales and resales, and Grab, Southeast Asia’s leading ride-hailing platform. We also represented SoftBank on investments in OYO, the world’s second-largest hotel chain by rooms under management; PayClip, an online payment processor; Paytm, a mobile-payments company; Creditas Financial Solutions, a provider of a digital secured-lending platform; Konfio, an online lending platform; Buser, a bus charter online booking service; Clutter, an on-demand storage company; Flexport, a software-focused freight forwarder; Grofers, an online grocery delivery service; Klook, a travel activities platform; Ola, a transportation network company; and View, a leader in dynamic glass. 23 MORRISON & FOERSTER 2019 M&A ANNUAL REVIEW
