Business Restructuring & Insolvency 2021 Annual Review
Manhattan Legal Services We, along with Manhattan Legal Services, advised tenants’ associations representing more than 50 tenants in connection with the chapter 11 cases of a portfolio of residential apartment buildings in Harlem. Through targeted motion practice in the bankruptcy court and nearly six months of negotiations with the debtors and their secured lender—who will assume control of the building portfolio through a chapter 11 plan—we were able to reach a consensual settlement of over $1 million of claims relating to the poor condition of the buildings. That settlement resolved a multi-year rent strike and afforded tenants with substantial cash payments and/or rent relief, while providing the landlord with much-needed cash flow to make long overdue repairs and remediate conditions at the properties. SeaChange Capital Partners We continue to build on our strong relationship with SeaChange Capital Partners, a non-profit organization providing grants, high-impact lending, consulting, and other services to other non-profit organizations. During 2021, we advised SeaChange in connection with the work-out of a loan previously provided to a local New York theater facing financial difficulties stemming from shut-downs ordered during the COVID-19 pandemic. Hale House We serve as counsel to the Hale House Center, Inc. in connection with its wind down and the liquidation of its remaining assets. The Hale House Center is a not-for-profit corporation founded in the early 1970s by Clara “Mother” Hale dedicated to the care of children born to drug-addicted parents in Harlem, New York. While Mother Hale was alive, the Hale House Center cared for hundreds of children born addicted to heroin, methadone, cocaine, alcohol, crack cocaine, and other substances. In recent years, the Hale House Center has been unable to raise sufficient funds to carry out its mission. Due to these ongoing financial difficulties, the Hale House Center made the decision to phase out its programs and wind down. The firm is a market leader in creditors’ committee representation, cross-border insolvencies, distressed real estate, the restructuring of financial institutions, insolvencies involving key intellectual property, and hedge fund failures. Strengths: “I think they are a premier shop. They have a deep bench. They have expertise across all areas of the restructuring spectrum, including debtor, creditor and committee work, and can serve any constituent and do it with a high level of expertise. Both their debtor and creditor committee practices are their strongest from my point of view, and they are respected for that.” “They represent the official committee of unsecured creditors in bankruptcy cases. That is a notable role. They know in and out what they need to do in that role. They advocate the concerns of the committee well, and they are also consensus builders within the committee.” Legal 500 US 2021 • Restructuring (Including Bankruptcy): Corporate – Tier 2 • Jennifer Marines – Next Generation Partner • Lorenzo Marinuzzi – Recommended • Theresa Foudy – Recommended • James Peck – Recommended IFLR1000 2021 • United States – New York: Restructuring and Insolvency (Tier 3) • United States – Restructuring and Insolvency (Tier 2) • United States – Restructuring – Lorenzo Marinuzzi – Highly Regarded Awards & Rankings MORRISON & FOERSTER | BRIG 2021 ANNUAL REVIEW 33 32 MORRISON & FOERSTER | BRIG 2021 ANNUAL REVIEW
