Business Restructuring & Insolvency 2021 Annual Review

We represented Osmium Partners in connection with the chapter 11 cases of Tuesday Morning Corporation. In addition to serving on the official committee of equity holders, Osmium, along with its capital partners, backstopped a rights offering for the reorganized debtors’ common stock. Morrison & Foerster also represented Osmium in connection with a contested plan confirmation, and successfully defended against an objection to confirmation raised by the U.S. Trustee alleging conflicts of interest on the part of the equity committee and its members.
